Terms of Use

The following terms govern the access and use of the CIO Assistant platform, a professional budget management tool for technology leaders.

Preamble

These Terms of Use govern the access and use of the online IT budget management platform "CIO Assistant" (hereinafter "the Platform" or "the Service") published by KANAP, a SARL registered with the RCS Saverne under number 939 098 190, whose registered office is located at 2, rue du Finhay, 67210 Obernai, France. Use of the Platform implies full acceptance of these Terms of Use.

Article 1 — Access to the Platform and Account Creation

1.1. Access to the Platform is reserved for users who have subscribed to a valid subscription, in accordance with the General Terms and Conditions of Sale (GTC) of CIO Assistant.

1.2. To access the Platform, the user must create a personal account by providing accurate and complete information.

1.3. The user is responsible for maintaining the confidentiality of their login credentials (username and password). Any use of the account with these credentials is deemed to have been made by the user. In case of loss or theft, the user must immediately inform KANAP.

1.4. KANAP reserves the right to refuse access to the Platform or to suspend an account in case of violation of these Terms of Use or the GTC.

Article 2 — Use of the Platform

2.1. The Platform is made available for professional purposes, particularly for IT budget management, CAPEX and OPEX tracking, financial reporting, and cost allocation. The user agrees to use it responsibly and in compliance with the law.

2.2. The user agrees not to:

  • Use the Platform for illegal, fraudulent, or harmful purposes.
  • Attempt to access other users' data or disrupt the operation of the Platform.
  • Publish inappropriate, defamatory, insulting content, or content that infringes the rights of others.
  • Share their access to the Platform with unauthorized third parties.
  • Use the Platform for commercial or advertising purposes other than its intended use.
  • Copy, reproduce, distribute, or modify the content of the Platform without prior authorization from KANAP.

2.3. KANAP reserves the right to modify, at any time, the features of the Platform.

Article 3 — User Responsibility

3.1. The user is solely responsible for their use of the Platform and the content they publish or share (if applicable).

3.2. The user agrees not to harm the reputation of KANAP or the quality of its services.

3.3. The user is responsible for the security of their computer equipment and internet connection.

Article 4 — KANAP's Responsibility and Limitation

4.1. KANAP undertakes to provide access to the Platform in accordance with the Service description.

4.2. KANAP does not guarantee the absence of errors or interruptions in the operation of the Platform.

4.3. KANAP cannot be held responsible for:

  • The consequences of the user's use of the Platform.
  • Technical interruptions or malfunctions, internet connection issues, or force majeure events.
  • The accuracy of data entered by the user or decisions made based on Platform reports.

4.4. KANAP's liability is in any event limited to the amount of the subscription paid by the user.

Article 5 — Confidentiality and Data Security

5.1. KANAP undertakes to take all necessary technical and organizational measures to preserve and respect the confidentiality of all information and data provided by users through the Platform.

5.2. User data is stored on secure servers with encryption and access control mechanisms. KANAP implements industry-standard security practices to protect against unauthorized access, disclosure, alteration, or destruction of data.

5.3. KANAP employees and subcontractors who may have access to client data are bound by strict confidentiality obligations and may only access data for the purposes of service provision, technical support, or legal compliance.

5.4. KANAP will not share, sell, or disclose client data to third parties, except:

  • With the explicit consent of the client.
  • When required by law or by a competent judicial authority.
  • To trusted subcontractors who assist in operating the Platform, under confidentiality agreements.

5.5. In the event of a data security incident, KANAP will notify affected clients within 72 hours and take immediate corrective action.

Article 6 — Intellectual Property

6.1. The Platform, as well as all elements that constitute it (including software, code, graphic content, texts, tools, etc.), are the exclusive property of KANAP and are protected by copyright and trademark law.

6.2. The user acquires no intellectual property rights over the Platform and the elements that constitute it.

6.3. Content created by the user when using the Platform (for example, budget data, reports, notes, etc.) remains the property of the user, but KANAP reserves the right to use aggregated and anonymized data for service improvement purposes, in accordance with the privacy policy.

Article 7 — Suspension or Termination of Account

7.1. KANAP reserves the right to suspend temporarily or permanently, without notice or compensation, access to the Platform and to terminate a user's account in case of:

  • Non-compliance with these Terms of Use or the GTC.
  • Abusive or fraudulent use of the Platform.
  • Breach of the security or proper functioning of the Platform.
  • Non-payment of amounts due.
  • Inappropriate or harmful behavior towards KANAP or other users.

7.2. In case of account termination, the user will lose access to the Platform and its content.

Article 8 — Personal Data Protection

Personal data collected in connection with the use of the Platform is processed in accordance with KANAP's privacy policy, available on the website.

Article 9 — Modifications to the Terms of Use

KANAP reserves the right to modify these Terms of Use at any time. Users will be informed of modifications by any means. Continued use of the Platform after modification of the Terms of Use implies acceptance of these modifications.

Article 10 — Applicable Law and Disputes

These Terms of Use are governed by French law. Any dispute relating to the interpretation or execution of these Terms of Use will be subject to the exclusive jurisdiction of the French courts.
