General Terms and Conditions of Sale

GTC

The following terms govern the subscription and commercial relationship for the CIO Assistant platform.

Article 1 — Purpose

These General Terms and Conditions of Sale (GTC) govern the sale by KANAP (hereinafter "the Vendor"), a SARL registered with the RCS Saverne under number 939 098 190, whose registered office is located at 2, rue du Finhay, 67210 Obernai, France, of subscriptions to the online IT budget management platform "CIO Assistant" (hereinafter "the Service" or "the Platform").

The Service consists of access to a professional platform for managing IT budgets, tracking CAPEX and OPEX items, financial reporting, cost allocation, and budget operations. The subscription can be purchased on a monthly or annual basis.

Article 2 — Acceptance of the GTC

Acceptance of these GTC is mandatory before any subscription and implies full acceptance by the Customer of these conditions. The Customer acknowledges having read the GTC at the time of ordering and having accepted them without reservation.

Article 3 — Description of the Service

CIO Assistant is an online IT budget management platform designed for technology leaders and CIOs. The Platform provides tools for:

  • CAPEX and OPEX tracking and management
  • Multi-year budget planning and budget operations
  • Cost allocation to companies, departments, and business units
  • Automated financial reporting and executive dashboards
  • Contract management and tracking
  • Multi-tenant and multi-company support

The specific features of the Service are those described on the website at the time of subscription. The Platform is accessible via the internet and requires an internet connection.

Article 4 — Subscription and Pricing

4.1. Access to the Service is offered under two subscription plans:

  • Monthly subscription: Access to the Service is billed monthly.
  • Annual subscription: Access is billed annually and may include a reduced rate compared to monthly subscription. Specific conditions and rates are detailed on the website.

4.2. Prices are indicated in euros (€) and are exclusive of taxes (VAT). Applicable VAT will be added to the invoice according to the customer's location and tax status.

4.3. The rates applicable for monthly and annual subscriptions are displayed on the website at the time of subscription. Rates may be modified at any time, but such modifications will only apply to subscriptions entered into after the modification.

4.4. The customer will be informed in advance of any rate modification before the automatic renewal of their subscription.

Article 5 — Payment Terms

5.1. Payment for the subscription is made by credit card via a secure payment platform (Stripe).

5.2. For monthly subscriptions, the first payment is made upon subscription. Subsequent payments are made each month on the anniversary date of the subscription.

5.3. For annual subscriptions, payment is made in full at the time of subscription.

5.4. For invoiced customers (available only for annual plans), payment terms are NET 30 days from the invoice date. In case of late payment, access to the Service may be suspended until the situation is resolved.

5.5. In case of payment refusal or payment failure, the Customer will be notified and access to the Service may be suspended until the situation is resolved.

5.6. An invoice will be issued for each payment and made available to the customer in their account area or sent by email.

Article 6 — Subscription Duration and Renewal

6.1. Monthly subscription:

  • The monthly subscription is entered into for a period of one month, automatically renewable by tacit renewal for an identical period.
  • The Customer may cancel their monthly subscription at any time from their account area, with 48 hours notice before the subscription renewal date. The cancellation will take effect at the end of the current month.

6.2. Annual subscription:

  • The annual subscription is entered into for a period of one year, automatically renewable by tacit renewal for an identical period, unless cancelled under the conditions below.
  • The customer will be notified by email 30 days before the renewal of their subscription.
  • The Customer may cancel their annual subscription at any time from their account area, with 30 days notice before the anniversary date of the subscription renewal. The cancellation will take effect on the anniversary date of the end of the subscription.
  • The annual subscription does not entitle the customer to any refund in case of early cancellation by the customer.

6.3. Plan modifications:

  • Customers may change their subscription plan at any time, free of charge, in all directions (add or remove seats, upgrade or downgrade plans).
  • Plan changes take effect immediately, with prorated adjustments applied to the current billing period.

Article 7 — Right of Withdrawal

7.1. Since CIO Assistant is a service provided to professionals for business purposes (B2B), the legal right of withdrawal applicable to consumers (B2C) under Articles L221-18 et seq. of the French Consumer Code does not apply.

7.2. For customers who qualify as consumers (micro-enterprises, sole proprietorships), a 14-day right of withdrawal may apply in accordance with Article L221-18 of the Consumer Code. To exercise this right, the customer must send clear notification to admin@cio-assistant.com before the expiration of the 14-day period.

Article 8 — Warranty and Liability

8.1. The Vendor undertakes to provide a Service in accordance with its description. The Vendor implements all reasonable means to ensure the quality and continuity of access to the Service.

8.2. The Vendor cannot be held liable for:

  • Interruptions or malfunctions of the Service, whether due to technical problems, internet connection issues, or force majeure.
  • The accuracy of data entered by the customer or financial decisions made based on Platform reports.
  • Indirect or consequential damages resulting from the use or inability to use the Service.

8.3. The Vendor's liability is in any event limited to the amount of the monthly or annual subscription paid by the Customer over the preceding 12 months.

Article 9 — Intellectual Property

The CIO Assistant platform, as well as all elements that constitute it (including software, code, graphic content, texts, tools, etc.), are the exclusive property of the Vendor and are protected by copyright and trademark law. The Customer acquires no intellectual property rights over the Platform and the elements that constitute it.

Article 10 — Personal Data

Personal data collected in connection with the subscription is processed in accordance with the Vendor's privacy policy, available on the website.

Article 11 — Disputes and Applicable Law

11.1. These GTC are governed by French law. All disputes relating to the formation, interpretation, or execution of these GTC shall be subject to the exclusive jurisdiction of the French courts.

11.2. In the event of a dispute, the parties agree to seek an amicable resolution before initiating any legal proceedings.
